This Terms of Service ("Terms") constitutes a legally binding agreement made between you, whether personally or on behalf of an entity ("you," "User") and ClosingKey ("we," "us," "our"), concerning your access to and use of the ClosingKey platform and its associated services (collectively, the "Services").
Our Privacy Policy, which details how we collect and handle your data, is an integral part of these Terms and can be found at our Privacy Policy. By using our Services, you also agree to the terms laid out in the Privacy Policy.
By accessing or using our Services, you agree that you have read, understood, and agree to be bound by all of these Terms. If you do not agree with all of these Terms, then you are expressly prohibited from using the Services and you must discontinue use immediately.
ClosingKey provides a platform to facilitate communication between registered users who are interested buyers or investors ("Buyers") and property owners ("Owners") regarding real estate opportunities. The core feature of our Service is an anonymous, proxied text messaging system that allows Users to communicate without sharing their personal contact information.
To access certain features of the platform, you must register for an account. By creating an account, you represent and warrant that:
Owners are not required to create an account. You become a User when you access a unique webpage provided by us and agree to initiate a conversation with a Buyer. By providing your phone number and initiating a conversation, you agree to be bound by these Terms for the duration of your interaction with our Services.
Our Services are centered around SMS/text message communications.
By using the Services—either as a Buyer initiating contact or as an Owner responding via our secure webpage—you explicitly consent to send and receive SMS/text messages from other Users and from the ClosingKey platform. You understand that these messages are integral to the Services.
You acknowledge that standard message and data rates may apply from your wireless carrier. ClosingKey is not responsible for any charges incurred from your use of the Services.
You may opt out of a specific conversation at any time by replying with the keyword STOP to the message thread. This will terminate that specific communication channel. For any other requests, please contact us directly.
We will use a temporary, proxied phone number to facilitate your conversation. We will not share your real phone number with the other User in the conversation. As outlined in our Privacy Policy, your mobile information will not be shared with third parties for marketing or promotional purposes.

All communications and subsequent transactions are solely between you and the other User. You are advised to conduct your own due diligence and consult with qualified professionals before entering into any agreement or transaction.
The Services and their original content, features, and functionality are and will remain the exclusive property of ClosingKey. The Services are protected by copyright, trademark, and other laws of both the United States and foreign countries. Our trademarks may not be used in connection with any product or service without our prior written consent.
We may, in our sole discretion, suspend or terminate your account and/or access to all or part of the Services, without prior notice or liability, for any reason, including but not limited to a breach of these Terms. Upon termination, your right to use the Services will immediately cease.
The Services are provided on an "AS IS" and "AS AVAILABLE" basis. We expressly disclaim all warranties of any kind, whether express or implied, including, but not limited to, the implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We make no warranty that the Services will meet your requirements or be uninterrupted, timely, secure, or error-free.
In no event shall ClosingKey, nor its directors, employees, or partners, be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from (i) your access to or use of or inability to access or use the Services; (ii) any conduct or content of any third party on the Services; (iii) any content obtained from the Services; and (iv) unauthorized access, use, or alteration of your transmissions or content, whether based on warranty, contract, tort (including negligence) or any other legal theory.
These Terms shall be governed and construed in accordance with the laws of [Your State, e.g., Delaware], United States, without regard to its conflict of law provisions.
